Introduction

These Terms and Conditions ("Agreement") are a legally binding agreement between Booknetic ("Service Provider") and the customer ("Customer") for the provision of custom development services ("Services"). By requesting Services from Booknetic, the Customer agrees to be bound by this Agreement.

Scope of Services

Booknetic will provide custom development Services as requested by the Customer. The scope of Services, along with the associated price and deadline, will be agreed upon in writing between the Customer and Booknetic before work commences.

Payment Terms

Booknetic requires a deposit of 60% of the total project cost before commencing work. Once the work is completed, Booknetic will request a further 30% of the total project cost before delivering the project to the Customer for testing. Following successful testing and approval by the Customer, Booknetic will request the remaining 10% of the total project cost and deliver the completed project to the Customer.

Changes to Scope of Services

If the Customer requests changes to the scope of Services after work has begun, Booknetic will provide a quote for the additional work required. The price and deadline for the additional work will be agreed upon in writing between the Customer and Booknetic before work on the changes commences. Changes that are specifically tailored for the Customer and not suitable for general Booknetic users will not be accepted unless agreed upon in advance.

Ownership and Use of Developed Features

Booknetic may, at its discretion, add any features developed for the Customer as part of the Services to its core plugin and make it available to all customers as part of the plugin or as a separate add-on. The Customer acknowledges that Booknetic has the right to use and modify any code or intellectual property created as part of the Services, including the developed features, for its own commercial purposes.

Confidentiality

Booknetic agrees to maintain the confidentiality of all information provided by the Customer in connection with the Services. The Customer agrees to maintain the confidentiality of all information provided by Booknetic in connection with the Services.

Warranty

Booknetic warrants that the Services will be performed in a professional and workmanlike manner. If the Customer notifies Booknetic of any defects in the Services within 30 days of delivery, Booknetic will correct the defects at no additional charge.

Limitation of Liability

Booknetic's liability for any claim arising out of or in connection with this Agreement shall be limited to the amount paid by the Customer for the Services. Booknetic shall not be liable for any indirect, special, incidental, or consequential damages.

Project Delay Compensation

In the event that Booknetic fails to deliver the completed project within the agreed-upon deadline, the Customer shall have the right to request compensation. The compensation amount shall be equal to 1% of the total project cost for each day that the project delivery is delayed beyond the initially promised deadline. However, when calculating delays, any days lost due to the Customer's delayed responses—including approvals and feedback—will be excluded from the delay period. Booknetic will notify the Customer of any such delays.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Booknetic is located. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.

Entire Agreement

This Agreement constitutes the entire agreement between the Customer and Booknetic with respect to the Services and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between the parties.
